2gather Terms of Service

last updated : october 7, 202620 chapters

Published in English, French and German. Which version governs your contract is set out in section 2.

Who we are

The 2gather service, comprising the 2gather.events and 2gather.me websites, the 2gather mobile application and all related services (the "Service"), is provided by:

Nyxus OÜ
Estonian private limited company (osaühing)
Registry code: 17364522
Registered office: Sepapaja tn 6, 15551 Tallinn, Harju maakond, Estonia
Legal representative: Maurice Haacke
VAT identification number: EE103031332
Single point of contact for users and authorities: legal@2gather.events

Nyxus OÜ is referred to below as "2gather", "we" or "us".

Payments are processed by the Stripe entity identified in the applicable payment contract. Media, meaning profile and event photographs, are hosted by OVHcloud, 2 rue Kellermann, 59100 Roubaix, France. The websites and the application programming interface are hosted by OVHcloud, for 2gather.events and its administration interface, and netcup GmbH, Karlsruhe, for 2gather.me and the api and app subdomains.

Scope and acceptance

These Terms of Service (the "Terms") govern your access to and use of the Service, worldwide. You accept them expressly when you create an account, together with the community charter. The version accepted and the date of acceptance are recorded. If you do not accept the Terms, do not use the Service.

If you download the application from the Apple App Store or from Google Play, Apple Inc. and Google LLC are not parties to these Terms. Annex A sets out the additional terms required by those platforms.

Organisers of events are also subject to the Organiser Terms of Service, which prevail over these Terms in respect of organising events and selling tickets.

Your own general terms and conditions do not form part of our relationship, even where we do not expressly object to them.

Documents and their order of priority. Our relationship is governed, in descending order of priority, by: any specific agreement signed between you and us; the Organiser Terms of Service, where you act as an organiser and for everything concerning the organisation of events and the sale of tickets; these Terms; the community charter; the pricing page in force; and the privacy policy. Where a document refers a matter to another, that other document governs the matter.

Defined terms. Terms written with an initial capital letter have the meaning given in Annex C.

Languages. These Terms are published in English, French and German. The English version is the reference version and prevails between us and an organiser acting as a trader. Where you are a consumer and contracted with us in French or in German, the version in that language governs your contract: a translation we provide is never deprived of legal effect against you.

Eligibility and your account

The Service is available to natural persons aged 18 or over. By creating an account you confirm that you are at least 18 years old. We may request proof of age at any time and may delete, without notice, any account held by a minor.

Legal persons, including companies and associations, do not open member accounts. They open an organiser account under the Organiser Terms of Service and designate a natural person authorised to act for them.

You provide accurate and current information and keep it up to date. One account per person. Accounts are personal and may not be transferred, lent or shared. You are responsible for keeping your credentials confidential and for activity carried out from your account.

Where objectively necessary for age verification, account security or fraud prevention, we may request proportionate identity evidence through a secure channel and explain its purpose and the consequences of not providing it. A verification is limited to the checks described at collection; it is not a criminal-background check or a guarantee of another person's conduct or safety. Identity documents are not requested through ordinary support email. Retention and any voluntary verification follow the privacy policy.

Using the Service is free of charge. Paid features, in particular tickets to paid events, are identified as such before any payment.

Identity checks are reviewed by a person. We do not use automated face matching for those checks.

The Service and our role

2gather lets you discover events near you, create them, join them, form a pair using the LOCK DUO feature, exchange messages with other participants and receive notifications.

Events are created and organised by their organisers, not by us. We provide the tool that connects people and we host the content that users publish. We do not review content before publication and we are not a party to the relationship between a participant and an organiser.

As an online platform, we display on each event page the identity of the organiser, its city, whether it acts as a trader or as a private individual and, for a trader, its registration number. We also display the service fee that applies.

How events are ranked depends on where you see them. The main parameters, in order of importance:

  • in the application feed: the area you have selected, then the date of the event, then how the event matches the preferences you have declared, then the number of tickets sold in the last 24 hours;
  • on the map: distance from the point you are looking at, then the date;
  • in the highlights: the date, then the number of tickets sold in the last 24 hours, then editorial selection, which is labelled as such;
  • on an organiser page: the date, earliest first;
  • within an event: the order set by the organiser, failing which increasing price.

Search results are ordered by how closely they match the words you typed, then by date. Where a placement has been paid for, it carries a visible label saying so, written in the language of the interface. We do not give our own events more favourable treatment than those of organisers.

Your content

You keep ownership of what you publish: photographs, event descriptions, your biography and your messages. You warrant that you hold the rights necessary to publish that content and that it does not infringe the rights of third parties.

To operate the Service, you grant us a non-exclusive, worldwide, royalty free licence to host, display, technically adapt, by cropping or compression, and promote your content within the Service. The licence is limited to the period during which the content is published. If you delete the content or your account, the licence ends, subject to backups and to retention required by law.

Any use of your content in advertising outside the Service requires your prior agreement.

Private messages are displayed only to their intended recipients and authorised case handlers where necessary; this licence does not authorise promoting private messages or using them in advertising.

Rules of conduct

You may not:

  • publish illegal content, including hatred, harassment, threats, sexual content involving minors, counterfeiting or fraud;
  • publish pornographic or sexually explicit content;
  • impersonate another person or create a fake profile;
  • organise an event that is illegal or dangerous for participants;
  • resell tickets on a habitual basis without the organiser's agreement;
  • harvest other members' data, scrape the Service's content, or attempt to access accounts or systems that are not yours;
  • send unsolicited messages or approach members for commercial purposes without our written consent;
  • harvest or reuse Member data or third-party content without authority, send unsolicited mass solicitations, or falsely imply that an external event/group is endorsed by 2gather;
  • sell, monetise or exchange an invitation code or a trust code, which remain personal.

These rules also apply to event and duo interactions arising from the Service. Harassment, stalking, coercion, scams, non-consensual sharing of private information, deliberate report abuse and evasion of a previous suspension are prohibited. Verification badges describe only the check performed and are not a safety guarantee. In immediate danger, contact local emergency services; the legal inbox is not an emergency response service.

Reports, moderation and appeals

You may report a profile, event, message or room using the in-app reporting tool or legal@2gather.events. For an illegal-content notice, identify the content precisely (link, event/message reference or screenshot), explain the grounds, provide contact details unless a lawful exception applies, and confirm in good faith that your information is accurate. Authorities and trusted flaggers use legal@2gather.events. This channel is also available if you cannot access your account.

Automated input filters may flag or block inappropriate material; other moderation takes place after publication. We assess notices promptly and proportionately. Human review is available for disputed decisions. Depending on severity, we may warn a user, remove content, restrict features, suspend or terminate an account. Serious safety risks or unlawful activity may justify immediate action. Where required, we notify the affected person of the reasons, measure, duration and available remedies, subject to lawful confidentiality restrictions.

You can block another member using the blocking controls. You may appeal to legal@2gather.events within at least six months of notification. A person not responsible for the original decision re-examines the case. We reply to complaints within fifteen calendar days; if a legally permitted extension is necessary, we explain the reason and next step within that period. Mandatory shorter deadlines prevail. Internal review does not prevent access to an eligible certified dispute-settlement body, an authority or a court. Suspected criminal offences threatening life or safety are referred to the competent authorities where required.

Tickets and payments

8.1 Who sells. For a paid event, the seller is the organiser. The contract for participation is concluded between you and the organiser. We act as a technical intermediary and collect the price in the organiser's name and on its behalf, through Stripe.

8.2 Price displayed. The total amount payable, inclusive of all taxes and of the service fee, is displayed from the first presentation of the offer and again before you confirm your purchase. The breakdown is shown line by line: price set by the organiser, 2gather service fee, total. No fee is revealed at a later step of the purchase.

8.3 Service fee. The service fee is 4.44 % of the ticket price plus 0.44 EUR per ticket. For an event organised by a non-profit association, including a student union or a student association, the fee is reduced to 4.44 % plus 0.22 EUR per ticket for every ticket priced at 17.50 EUR or less. The fee is payable by you, in addition to the price set by the organiser, and is included in the total displayed before payment. Ticketing operates in euros. No other currency is open at the date of this version; should one be opened, the equivalent fixed amount for that currency will be published on our pricing page before it applies. Free events, including their QR code tickets, carry no fee.

8.4 Payment. Payment is processed by Stripe. Your card details do not pass through our servers and we do not store them. The payment methods accepted are shown at the time of purchase.

8.5 Your Ticket and transfers. Tickets are personal, numbered and issued as a QR code. The Organiser checks admission. Where a free transfer feature is enabled for the Event and available in the Service, you may transfer a Ticket to another eligible Member. Any restrictions are disclosed before purchase. A transfer is complete only when confirmed by the Service; the previous QR code is invalidated and a replacement is issued. A screenshot, a private payment or a listing elsewhere does not by itself transfer a Ticket. We do not promise automatic resale or a replacement buyer.

Tickets must not be resold above the permitted price or habitually resold in breach of applicable law or required organiser permission. For group orders, including duo purchases, the Buyer holds each Ticket until a confirmed transfer. Any named-beneficiary requirement is disclosed before purchase. Refunds are returned to the original payment method of the Buyer; a transfer does not transfer that payment method or create a second refund entitlement. The Buyer and recipient are informed of this before confirming a transfer.

8.6 No right of withdrawal. Tickets for an event taking place on a specific date, or during a specific period, are services relating to leisure activities within the meaning of Article 16(l) of Directive 2011/83/EU. The right of withdrawal does not apply: your purchase is final once confirmed. This is stated to you before payment and you acknowledge it expressly. Annex B states the corresponding national provisions.

8.7 Refunds and event changes.
No automatic change-of-mind refund is promised. A purely discretionary refund normally returns the Ticket price only, retaining the disclosed service fee, subject to mandatory rights and binding more generous policies. Free transfers require an enabled working feature. Contact legal@2gather.events. We initiate due refunds promptly, targeting fourteen calendar days unless a shorter legal deadline applies; bank arrival is separate. Insufficient Organiser funds do not extinguish debts or mandatory claims against us. Account deletion alone does not create a refund. No unconditional Organiser-solvency guarantee is given.

For an Organiser cancellation, the Buyer is entitled to a refund of the Ticket price. For a material date/location change, the Buyer may accept the changed Event or request a Ticket-price refund. The separately disclosed buyer service fee pays for 2gather's booking, ticket issuance and payment-coordination services already supplied and is ordinarily retained, including when the Organiser cancels or changes the Event. This is not an absolute exclusion: the fee is refunded where required by mandatory law, where 2gather's own fault or failure gives rise to that remedy, or under a more generous binding refund commitment. Any other mandatory remedies remain unaffected. Before purchase we display the Ticket price, service fee, total and this fee-refund rule. We do not retain a fee for a platform service we have failed to provide merely by invoking an Event cancellation.

The Organiser funds its Ticket-price refund. If the service fee is refundable under an applicable exception, 2gather returns it; responsibility between 2gather and the Organiser follows the actual cause and mandatory law. A retained service fee is not charged to the Organiser again. For an Organiser-attributable cancellation, only documented actual nonrecoverable processing costs not already covered by the retained fee or other recoveries may be recovered, with an itemised reconciliation and no duplicate recovery. 2gather bears its own-fault costs. This allocation does not deduct processing costs from a legally required Buyer refund. Earlier purchases retain applicable earlier commitments.

8.8 Fraud and payment disputes. Where there are objective signs of payment fraud, we may request proportionate evidence, restrict the order or cancel it and return the full amount charged. We explain the decision and provide a route to challenge it, unless a lawful restriction prevents disclosure.

For billing issues, refunds or payment disputes, write to legal@2gather.events. This is encouraged, not a condition for exercising rights with a bank, payment provider, authority or court. A good-faith complaint or chargeback does not itself justify a sanction. Documented fraud or deliberate abuse may justify proportionate account measures with reasons and appeal rights. We reconcile pending refunds and bank disputes to avoid duplicate recovery.

8.9 Availability of paid ticketing. Paid ticketing is available only for organisers established in countries where our payment provider supports payouts to connected accounts. The current list is published on our pricing page. The free Service is available worldwide, subject to applicable law and to the app store rules of your country.

Account security

You take reasonable steps to protect your account, in particular by using a password specific to the Service. You notify us without delay of any unauthorised use. We may require you to reset your password where we detect a risk.

Personal data

Nyxus OÜ is the controller for its own processing of member accounts, introductions, security, moderation and ticketing. The privacy policy describes purposes, legal bases, recipients, retention and rights. Contact legal@2gather.events for data requests. You may complain to the competent supervisory authority, including that of your residence, workplace or the alleged infringement; Andmekaitse Inspektsioon (www.aki.ee) is the Estonian authority. Which authority is competent or leads cross-border supervision follows the GDPR and actual establishment/decision-making facts, not this choice-of-law clause.

We share only the admission information necessary for the Organiser's Event. For independently determined purposes, the Organiser is an independent controller. Any processing performed jointly or on another party's instructions requires the arrangement demanded by Articles 26 or 28 GDPR before it begins. Contract labels do not override the actual roles.

Liability

We take the steps necessary to keep the Service available and reliable, without being able to guarantee uninterrupted availability. This is an obligation of means.

Planned maintenance. Where we plan an operation that is expected to make the Service unavailable for more than twelve hours, we tell you at least 24 hours in advance, in the application or by email. Unplanned interruptions are announced as soon as we are aware of them.

Statutory conformity rights. Applicable mandatory rights for digital content and services remain intact. For continuous supply, we are responsible for conformity throughout the agreed supply period; one-off supply follows the applicable national statutory period, which may not be shortened below mandatory requirements. This includes any required security updates and statutory remedies. Our ticketing service is distinct from the Organiser's Event obligations.

We do not guarantee that events will take place, nor their quality or their compliance with what was announced, all of which are the responsibility of their organisers. We are not responsible for how participants behave towards each other, before, during or after an event.

Nothing in these Terms excludes or limits our liability for intent or gross negligence, for injury to life, body or health, for breach of a guarantee we have given, for liability under applicable product liability law, or any statutory right you have as a consumer.

Where we breach, through slight negligence, an obligation that is essential to the performance of this contract, our liability is limited to the damage typically foreseeable for a contract of this kind. Any other liability for slight negligence is excluded.

Suspension, termination and account deletion

You may delete your account free of charge in the web/app settings or request deletion at legal@2gather.events. We disable your account and remove your public profile promptly. Remaining data is erased or anonymised under the privacy policy; necessary transaction, legal-claim and security records and backup copies follow its restricted retention rules.

Deleting the account does not automatically cancel valid Tickets. Before deletion, we explain how Tickets for upcoming Events remain accessible through a secure account-independent method. Retaining the minimum booking/admission information is distinct from keeping a public account. Any cancellation or refund follows section 8.7 and the terms of the original purchase. Deletion of a privacy account is not conditional on forfeiting your Tickets or waiving legal rights.

We may restrict or terminate an account for breach of these terms or the law, with reasons and remedies under section 7. Urgent threats, fraud or a minor's account may require immediate action. For Tickets whose use is prevented by a restriction we impose, we assess separately whether to preserve lawful admission or provide the refund required by the purchase and applicable law; a sanction is not a blanket forfeiture. We may end the free Service on one month's notice or close an account inactive for more than twelve months after an email warning and at least four weeks to respond. Ongoing transactions and mandatory duties survive closure.

Intellectual property

The 2gather name and logo, the design, the code and the content we produce remain our property.

Your licence. Your account gives you a personal, non-exclusive, non-transferable and non-sublicensable right to use the Service for the purpose for which it is provided, for as long as your account exists. It transfers no ownership. For a member this right is for private use; for an organiser it extends to the professional use described in the Organiser Terms of Service.

What the licence does not allow. You may not give a third party access to the Service through your account, share or sell access to your account, translate, adapt, arrange or modify the Service, create a derivative work from it, sublicense or resell it, decompile or reverse engineer it except within the limits that the law reserves to you, or remove any notice of ownership. These restrictions concern the Service itself; nothing here prevents you from running your own activity, including a competing one. Section 6 continues to prohibit unauthorised harvesting/reuse of Member data or third-party content and false affiliation.

Changes to these terms and the Service

We may amend these terms for a change in the Service, a technical or operational requirement, or a change in law. We publish the numbered version and effective date and keep earlier versions accessible. Material changes are communicated on a durable medium at least thirty days in advance, unless a shorter period is legally justified and explained.

A purchase remains governed by the terms accepted for it. Changes do not retroactively remove a refund right, add a fee or alter an existing ticket contract. We obtain express acceptance where required; continued use is not treated as consent where the law requires an affirmative act. You may stop using the Service or terminate your account without charge if you disagree. The impact on existing Tickets is handled under section 8.7 and mandatory digital-service rights, rather than an automatic refund of unrelated organiser services.

Changes to a continuously supplied digital service comply with applicable conformity rules, including a valid stated reason, no additional cost, prior information and any right to terminate or obtain remedies where the change adversely affects you beyond a minor extent.

Complaints, dispute resolution and governing law

For refunds, cancellations, payment disputes, complaints, moderation appeals, personal-data requests and legal notices: legal@2gather.events. For technical help and everyday assistance: support@2gather.events. A request sent to the other address is routed internally without requiring resubmission, and its original receipt date is preserved.

We respond to consumer complaints within fifteen calendar days, subject to any shorter mandatory period. If a legally permitted extension is necessary, we explain the reason and next step within that period. Data-rights requests follow the separate GDPR periods in the privacy policy. French, German and English are supported; mandatory rights to assistance in another language are preserved.

Designated consumer mediator: CM2C. Nyxus OÜ is affiliated with Centre de la Médiation de la Consommation de Conciliateurs de Justice (CM2C), 49 rue de Ponthieu, 75008 Paris, France; https://www.cm2c.net; +33 1 89 47 00 14. After a prior written complaint to legal@2gather.events that remains unresolved, consumers may request mediation free of charge under CM2C's admissibility rules. Requests can be filed on its website, by post or at declarer-un-litige@cm2c.net, with evidence of the prior complaint. Mediation covers eligible disputes concerning Nyxus's own services and obligations; independent Organisers are not automatically affiliated. This distinction does not remove rights against Nyxus. Membership expires on 6 October 2029. Mediation is not mandatory for the consumer and does not remove lawful access to courts. An eligible consumer may also use another legally available ADR route, subject to the relevant rules concerning parallel or previously examined disputes.

Alternative dispute resolution. Consumers, including eligible cross-border consumers, may apply to the Consumer Disputes Committee at TTJA (www.ttja.ee/en/consumer-disputes-committee), subject to its eligibility and procedural rules. Its statutory jurisdiction and filing rules apply. A consumer in another EU/EEA country may contact the European Consumer Centre of their country for assistance and referral (www.eccnet.eu). This assistance is not itself mediation. For an unresolved complaint, we provide on a durable medium the details of the ADR entity competent for that dispute and state our participation position as required by applicable law. Where participation or membership is legally required, that obligation prevails. Any designated scheme and its verified contact details are also published in the legal notice. ADR does not prevent lawful access to a court. The former EU ODR platform is closed and is not a complaint route.

Governing law. These terms are governed by Estonian law. Under Article 6 of Regulation (EC) 593/2008, this does not remove mandatory protection under the law of a consumer's habitual residence. Jurisdiction. EU consumers may bring proceedings in the courts of their domicile where the applicable jurisdiction rules so provide, and may be sued only in the courts allowed by those rules. Subject to mandatory jurisdiction, other disputes fall within Harju County Court (Harju Maakohus), Tallinn, Estonia.

Business telephone: +372 669 2077. Main written contact for issues and refunds: legal@2gather.events. Email and phone contact are available without a member account. We aim for a first human response within one business day, Monday to Friday; this does not guarantee resolution within that period or extend legal deadlines. These are not emergency channels.

Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in force.

Where one of us does not require strict performance of an obligation, that tolerance is not a waiver and does not prevent that party from requiring performance later.

You may not assign or transfer these Terms, or your account, to anyone else without our prior written agreement.

We may assign this contract to a company within the same group or to a purchaser of the business, without reducing your rights. You will be informed.

A.10 Third party beneficiary. Apple Inc. and its subsidiaries are third party beneficiaries of this Annex and of these Terms, and have the right to enforce them against you.

In accordance with the App Store Review Guidelines and the Google Play Payments policy, they are paid for using payment methods other than in-app purchase or Google Play billing.

annex B · Country specific terms

Where the law of your country of residence requires it, the following applies in addition to the body of the Terms and prevails over it to the extent of any conflict. In accordance with Article 6 of Regulation (EC) No 593/2008, the choice of Estonian law never deprives you of the protection afforded by the mandatory rules of the law of your country of habitual residence.

B.1 France. Dated leisure-event Tickets fall under Article L221-28, 12° of the Consumer Code. Fees and totals shown to consumers are inclusive of taxes. Complaints and refunds go to legal@2gather.events. A consumer resident in France may seek cross-border assistance from Centre Européen des Consommateurs France (www.europe-consommateurs.eu). Any mandatory right of access to consumer mediation is preserved; being established in Estonia is not presented as a blanket exemption. The competent verified scheme is identified in the legal notice and in any legally required unresolved-complaint response.

B.2 Germany. Section 312g(2) number 9 of the German Civil Code excludes the right of withdrawal for services relating to leisure activities where the contract provides for a specific date or period of performance. The mandatory pre-contractual information is provided before the order is placed, in accordance with Article 246a of the Introductory Act to the Civil Code.

Consumer arbitration. Nyxus OÜ employed ten or fewer persons on 31 December of the preceding year and is therefore not subject to the standing information duty under section 36(1) number 1 of the Consumer Dispute Resolution Act. Where a dispute with a consumer cannot be settled with us directly, we will inform that consumer in text form of the competent body, the Universalschlichtungsstelle des Bundes, Zentrum für Schlichtung e.V., Straßburger Straße 8, 77694 Kehl, www.universalschlichtungsstelle.de, Telefon +49 7851 795 79 40, and state whether we agree to take part, as required by section 37 of that Act. Being exempt from the standing information duty, we publish no standing position on participation: we state our position on each individual dispute in that notification.

B.3 Belgium. Article VI.53, 12° of the Code of Economic Law excludes the right of withdrawal for services relating to leisure activities where the contract provides for a specific date or period of performance. A consumer resident in Belgium may apply to the Consumer Mediation Service, boulevard du Roi Albert II 8 box 1, 1000 Brussels, www.consumerombudsman.be, which refers the application to the competent qualified entity. A consumer may write to us in French or in Dutch and we reply in that language.

B.4 Netherlands. Article 6:230p(e) of the Dutch Civil Code excludes the right of withdrawal for services relating to leisure activities where the contract provides for a specific date or period of performance. Where a dispute with a consumer resident in the Netherlands cannot be settled with us directly, we inform that consumer in text form of the competent alternative dispute resolution entity and state whether we agree to take part. The consumer may also contact the European Consumer Centre.

B.5 Italy. Article 59(1)(n) of the Consumer Code excludes the right of withdrawal for services relating to leisure activities where the contract provides for a specific date or period of performance. Where a dispute with a consumer resident in Italy cannot be settled with us directly, we inform that consumer in text form of the alternative dispute resolution body entered on the list held by the competent authority and state whether we agree to take part. The consumer may also contact the European Consumer Centre.

B.6 Estonia. Estonian-language information and assistance are provided to the extent required by Estonian law. A summary of the business and services is published on the website. Consumers, including eligible cross-border consumers, may apply to the Consumer Disputes Committee at TTJA, Endla 10a, 10122 Tallinn, subject to its current rules, including language and admissibility requirements. See www.ttja.ee/en/consumer-disputes-committee. We do not promise acceptance of a complaint in English without confirmation from that body.

B.7 Countries where paid ticketing is not open. Paid ticketing is not offered in the United States, Canada, the United Kingdom or Switzerland at the date of this version. The free features remain available there. Terms specific to United States users, including any dispute resolution provisions, are to be prepared with local counsel before any commercial activity opens there. See the note to counsel, point 6.
